Terms Of Service

By accessing or purchasing any sunglasses, belts, gloves, hats, scarves, socks or tights (“Products”) from Tacray Limited (“Company,” “we,” “us,” or “our”) through our websites, mobile applications or authorized retail partners, you (“you” or “Customer”) agree to be bound by these Terms of Service (“Terms”). If you do not accept every provision, please refrain from using our Services.
1 . Eligibility & Account Security
1.1 You must be at least 18 years old (or the age of majority in your jurisdiction) and possess full legal capacity.
1.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities undertaken through your account.
2 . Products, Pricing & Availability
2.1 All Product descriptions, images and prices are subject to change without notice. We reserve the right to discontinue any Product at any time.
2.2 Taxes, duties and other government fees are your responsibility unless expressly stated otherwise at checkout.
3 . Order Acceptance
3.1 Your order constitutes an offer to buy. We are not deemed to have accepted the order until (i) we send a written confirmation email and (ii) charge your payment method.
3.2 We may refuse or limit quantities at our sole discretion, including where we suspect fraud or misuse.
4 . Shipping & Delivery
4.1 Free Shipping Advantage. We provide standard shipping at no cost in the continental United States, European Union, United Kingdom, Australia, Hong Kong and Mainland China. For other territories, free shipping applies to orders over the threshold shown at checkout.
4.2 Transit-Time Disclaimer. Estimated delivery dates are not guarantees. Customs clearance, extreme weather, or carrier disruptions may cause delays. We are not liable for consequential losses arising from late delivery.
4.3 Title and risk of loss pass to you upon our hand-over of Products to the carrier.
5 . Returns & Refunds
5.1 14-Day No-Questions-Asked Return. You may return eligible Products within 14 calendar days of delivery for any reason.
5.2 Buyer Pays Return Shipping. Return freight, insurance and any customs fees are your responsibility unless we shipped the wrong or defective item.
5.3 Refund Timing. Approved refunds are initiated within 5 business days of warehouse inspection; bank or card networks may take at least 14 days to credit your account.
5.4 PayPal-Initiated Refunds. Where the original payment was via PayPal, funds are returned to the same PayPal account. PayPal processing typically takes no fewer than 14 days and may extend to 30 days where required by local law.
5.5 Refunds are issued via the original payment method only.
5.6 Non-returnable goods (e.g., worn socks/tights after hygiene seal is broken) are identified on the product page.
6 . Intellectual Property
All OptiShield™, FlexWeave™, ThermoFlow™ and related marks, patents and content belong to Tacray Limited or its licensors. You receive no rights beyond those needed to use or resell the physical Product you purchase.
7 . User Content
If you submit reviews, images or ideas, you grant us a worldwide, royalty-free, perpetual license to use, modify and publish that content in any media. You confirm you have the necessary rights to grant this license.
8 . Limited Warranty & Disclaimers
8.1 We warrant that Products are free from material defects for 12 months from purchase. Remedies are limited to repair, replacement or refund at our discretion.
8.2 Except as expressly stated, Products and Services are provided “as is” without any other warranties, express or implied (including merchantability or fitness for a particular purpose).
9 . Limitation of Liability
To the maximum extent permitted by law, in no event will Tacray Limited be liable for indirect, incidental, special, punitive or consequential damages. Our aggregate liability shall not exceed the greater of (i) the amount you paid for the Product giving rise to the claim or (ii) HK $1,000.
10 . Indemnification
You agree to indemnify and hold harmless Tacray Limited, its affiliates, directors and employees from any claim, loss or expense arising out of your breach of these Terms or misuse of the Products.
11 . Privacy
Our Privacy Policy (incorporated by reference) explains how we collect and process personal data and includes PayPal privacy disclosures required for ACDC compliance.
12 . Force Majeure
We are not responsible for failures or delays caused by events beyond our reasonable control, such as natural disasters, pandemics, governmental actions, labor disputes or internet outages.
13 . Changes to Terms
We may update these Terms at any time. Material changes take effect 14 days after posting. Continued use after that constitutes acceptance.
14 . Governing Law & Dispute Resolution
These Terms and any dispute or claim between you and Tacray Limited are governed by the laws of Hong Kong, without regard to conflict-of-laws rules. Subject to any mandatory consumer protection statutes, disputes shall be submitted to the non-exclusive jurisdiction of the courts of Hong Kong. We both retain the right to seek injunctive relief in any competent jurisdiction.
15 . Severability
If any provision is held unenforceable, the remaining provisions will continue in full force, and a valid term that most closely reflects the parties’ intention will replace the void clause.
16 . Entire Agreement
These Terms, together with the Privacy Policy and any specific sales invoice, constitute the entire agreement between you and Tacray Limited and supersede all prior understandings.
